THE INFINITE MACHINE NFT COLLECTION TERMS & CONDITIONS

These Terms are between you and The Infinite Machine Movie & Collection ("TIM", "we", "us", or "our") concerning your use of TIM’s site, currently located at https://www.theinfinitemachinemovie.com/ (the "Site").

The Infinite Machine Collection (hereafter "TIM Collection") is a distributed application that runs on the Ethereum network using smart contracts that allow users to acquire, buy and sell own and transfer digital artworks linked to non-fungible tokens (hereafter "TIM tokens"). The TIM website is an interface allowing participants to exchange these digital collectibles.

INTERACTING WITH THE TIM WEBSITE AND ETHEREUM NETWORK

A. Users will need to have a web browser and an Ethereum wallet that is compatible with the Non-Fungible Token ("NFT") standard on the Ethereum network.

B. All transactions regarding TIM tokens are managed and confirmed via the Ethereum blockchain. You understand that your Ethereum public address may be made publicly visible whenever you engage in a transaction.

C. TIM Collection does not own nor control users’ web browser, your Ethereum wallet, the Ethereum network, or any other third-party site, product, or service that you might access, visit, or use for the purpose of enabling you to perform a transaction with your TIM tokens. TIM Collection will not be liable for the acts or omissions of any such third parties, nor will it be liable for any damage users may suffer as a result of transactions or any other interaction with any such third parties.

D. The website may show certain pricing data that has been loaded and collected from the Ethereum blockchain. TIM Collection is not liable for any incorrect information or typographical errors of any kind, including any incorrect information that is due to a coding error, blockchain code errors or due to a data outage. It is your duty and obligation to confirm any and all pricing data on your own and base any decisions you make on your own information and data.

E. Any calculations that are displayed on the site are for information purposes only. These calculations are in no way predictions of value and the user agrees they will not construe these calculations as predictions of future prices or values in any way or that TIM Collection is giving any advice on what to purchase or not to purchase.

F. TIM Collection is not responsible or liable for any transactions that are cancelled by a seller.

OWNERSHIP

A. Purchasers of TIM Tokens own those NFTs. Each TIM token is an NFT on the Ethereum blockchain. Purchasers of these NFTs own the underlying art. Ownership of the NFT is mediated entirely by the Smart Contract and the Ethereum Network.

B. Purchasers of TIM Tokens are buying digital art and tokens that grant owners the chance to participate in The Infinite Machine Movie. About one third of TIM Tokens are randomly assigned a trait linked to a potential movie based on the book "The Infinite Machine: How and Army of Crypto Hackers is Building a New Internet With Ethereum." These traits include: Appearing as an extra in the film, visiting the shooting locations, being a VIP guest at the movie premiere, appearing in the film’s credits. NFT holders will also have the chance to form a DAO, which may have a say in the movie production itself.

C. TIM tokens do not provide rights over future revenue or profits made by the film and purchasers should not be buying these tokens with the expectation to trade them in the secondary markets for profit.

D. Production of the film is subject to a number of factors including, fundraising, castings, securing appropriate permits and licenses, etc. While the producing team plans to execute on these plans, failure to do so will not make them liable to NFT token holders.

E. Personal Use. Subject to your continued compliance with these Terms, TIM token holders have a worldwide, royalty-free license to use, copy, and display the purchased Art, along with any extensions owners choose to create or use, solely for the following purposes: (i) for their own personal, non-commercial use; (ii) as part of a marketplace that permits the purchase and sale of NFTs, provided that the marketplace cryptographically verifies each TIM token owner’s rights to display the TIM token art to ensure that only the actual owner can display the art; or (iii) as part of a third party website or application that permits the inclusion, involvement, or participation of the owners’ TIM token, provided that the website/application cryptographically verifies each TIM token owner’s rights to display the art for their NFT to ensure that only the actual owner can display the art, and provided that the art is no longer visible once the owner of the NFT leaves the website/application.

F. Commercial Use. Subject to your continued compliance with these Terms, TIM Collection grants owners of TIM tokens an unlimited, worldwide license to use, copy, and display the purchased art (and not other art in the collection) for the purpose of creating derivative works based upon the Art ("Commercial Use"). Examples of such Commercial Use would e.g. be the use of the Art to produce and sell merchandise products (T-Shirts etc.) displaying copies of the Art.

DISCLAIMERS

TIM Tokens are being sold exclusively for consumptive use and under no circumstances shall be seen as an investment. Further, nothing included in the site constitutes an offer or solicitation to sell, or distribution of, investments, securities or related services by TIM to anyone in any jurisdiction.

To the fullest extent permitted by law, in no event will TIM be responsible to you for any: (1) financial losses; (2) loss of use, data, business or profits; or (3) indirect, special consequential, exemplary, or punitive damages. This will be whether or not the TIM warned of the possibility of such damages. Notwithstanding anything to the contrary in these terms, nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, or for death or personal injury caused by gross negligence.

You agree to defend, indemnify and hold harmless TIM, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including.

We do not guarantee that the Site will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programs and platform in order to access the Site. You should use your own virus protection software.

We cannot promise that the use of the Site, or any content taken from the Site, will not infringe the rights of any third party.
